Standard Master Services Agreement (MSA)
These Terms of Service govern all professional engagements between UniqueTechCamp and our commercial clients. Whether we are constructing custom e-commerce web applications, implementing 24/7 AI WhatsApp lead qualification funnels, or providing digital growth architecture, these terms define our mutual standards of excellence.
01. Engagement Framework & Statements of Work
All development and growth campaigns are initiated via a formal Statement of Work (SOW) or Project Scope Brief. Each SOW details the architectural blueprint, timeline benchmarks, agreed deliverables, third-party software integrations, and financial milestone disbursements.
Work commences strictly following receipt of the stipulated initial project commitment deposit. Any alterations, additional feature additions, or modifications to the accepted architecture outside the initial SOW are treated as Scope Change Orders and billed accordingly.
02. Intellectual Property & Code Ownership
Client Deliverables Transfer
Upon 100% full and final settlement of all agreed invoices, 100% unconditional ownership of the custom application code, graphic artwork, database schemas, and proprietary company content created exclusively for the client transfers entirely to the client.
Pre-Existing Frameworks & Assets
UniqueTechCamp retains full rights to our pre-existing proprietary modules, boilerplate scaffolds, reusable AI connectors, and developer utilities. Clients are granted a perpetual, non-exclusive, royalty-free worldwide license to operate these components within their deployed application.
03. AI Growth Systems & Customer Acquisition Disclaimers
When you engage UniqueTechCamp to build an integrated AI Customer Acquisition System (including AI Lead Gen forms, WhatsApp bots, automated follow-up sequences, and CRM automations):
- Autonomous Conversion Support: We configure and test AI conversation flows against strict qualification prompts. However, conversion rates depend in part on client pricing, industry reputation, and timely human sales closing. UniqueTechCamp provides the infrastructure and conversion optimization, while the client maintains responsibility for closing incoming warm leads.
- Third-Party API Uptime: Features utilizing third-party foundation models (OpenAI, Anthropic) or communication protocols (Meta WhatsApp Business API, Twilio, Safaricom Daraja) are subject to the underlying uptime and regulatory policies of those third-party providers.
- Content Accuracy: The client is responsible for reviewing and approving the knowledge base, product catalogues, and pricing matrices fed into the AI bot prior to production deployment.
04. Client Cooperation & Project Milestones
Rapid, successful software delivery requires active collaboration. To adhere to agreed delivery schedules:
- The client agrees to provide required brand assets (logos, copy, product images, credentials) within seven (7) business days of project kickoff.
- Client review of staging links or demo milestones must be returned within five (5) business days. Failure to provide feedback within ten (10) consecutive business days automatically approves the pending milestone.
05. Warranty & Bug Fix Support Period
Every custom web development build delivered by UniqueTechCamp is backed by a 30-Day Post-Launch Warranty Period starting the moment your website goes live on your production domain.
During this warranty period, UniqueTechCamp resolves all functional bugs, layout glitches, or code defects originating from our delivered scope at zero additional cost. The warranty does not cover modifications made by external developers, server environment alterations made by third parties, or new feature requests outside the original SOW.
06. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall UniqueTechCamp, its directors, developers, or affiliates be liable for indirect, punitive, incidental, special, or consequential damages (including loss of profits, data corruption, or business interruption) arising from the use or inability to use the delivered software.
In all events, the total cumulative liability of UniqueTechCamp under any claim arising from an engagement shall not exceed the total fees actually paid to UniqueTechCamp by the client under the specific Statement of Work giving rise to the claim.
07. Governing Law & Dispute Resolution
These Terms of Service are governed by and construed in accordance with the Laws of the Republic of Kenya. Any dispute, difference, or controversy arising out of or in connection with this agreement shall first be resolved through good-faith executive negotiations. If unresolved within twenty-one (21) days, the matter shall be submitted to binding arbitration in Nairobi, Kenya under the Nairobi Centre for International Arbitration (NCIA) rules.
